Terms of Service

Clear terms for using GovRadar responsibly.

These Terms describe the responsibilities of GovRadar, customer organizations, authorized users, and consultants using the service.

Pre-launch notice

GovRadar is currently under development. These Terms establish the intended foundation for the service, but pricing, payment processing, trial periods, service limits, account recovery, and other production details must be finalized before commercial launch. These Terms will be reviewed and updated before customers are asked to accept them.

1. Agreement and operator

These Terms of Service govern access to and use of GovRadar, including its website, application, communications, and related services. GovRadar is initially operated by Cloud Resources LLC. In these Terms, “GovRadar,” “we,” “us,” and “our” refer to Cloud Resources LLC in its operation of the GovRadar service.

By creating an account, accepting an order, or using the service, you agree to these Terms on behalf of yourself and, when applicable, the organization you represent. If you do not agree, do not access or use GovRadar.

2. Definitions

Customer
The organization or person purchasing, receiving, or administering access to GovRadar.
Authorized User
A person permitted by a Customer to access GovRadar under the Customer's account.
Workspace
An access-controlled area used to organize information for a Customer, department, team, or represented client.
Consultant
A person or organization authorized by a Client Organization to provide procurement, capture, proposal, business-development, administrative, or related professional services using GovRadar.
Client Organization
An organization that authorizes a Consultant to access or manage a Workspace on its behalf.
Client Data
Information submitted to or created in GovRadar by or for a Customer or Client Organization, excluding GovRadar software, public procurement records, and aggregated or de-identified information that does not reasonably identify a Customer or individual.

3. Eligibility and accounts

GovRadar is a business service intended for users who are at least 18 years old. A person creating or administering an account for an organization represents that they have authority to act for that organization.

Customers and Authorized Users must:

  • provide accurate and current account information;
  • protect account credentials and authentication methods;
  • use individual accounts rather than sharing credentials;
  • promptly report suspected unauthorized access; and
  • promptly remove or update access when a user's responsibilities change or end.

Customers are responsible for activity performed through their accounts by Authorized Users acting within the access granted to them, except to the extent caused by GovRadar's breach of these Terms or failure to apply agreed security controls.

4. Organizations and workspaces

GovRadar may allow a Customer to create an organization account, invite Authorized Users, assign roles, and organize activity into one or more Workspaces. Available roles, Workspaces, user limits, and administrative features may depend on the selected plan.

An organization administrator may manage access to organization resources and may be able to access, preserve, transfer, or remove information created by Authorized Users within organization-owned Workspaces. Removing an individual user does not require GovRadar to delete records owned by the Customer or Client Organization.

Customers must assign access according to legitimate business needs and may not use roles or Workspaces to obtain unauthorized access to another organization's information.

5. Consultant access

A Consultant may access a Client Organization's Workspace only when authorized by that Client Organization or an authorized representative. Consultants must maintain valid authorization for each client they represent and must access only the Workspaces assigned to them.

Consultants must not:

  • combine or disclose Client Data across clients without authorization;
  • use one client's information for another client's benefit without permission;
  • represent that GovRadar has verified their professional qualifications; or
  • continue accessing a client Workspace after authorization is withdrawn.

A Client Organization may request removal of Consultant access. GovRadar may rely on authenticated instructions from authorized administrators while it reasonably verifies competing or unclear instructions. Agreements between a Consultant and Client Organization remain their responsibility and should address authority, confidentiality, data ownership, fees, and the end of the consulting relationship.

6. Trials, subscriptions, and billing

GovRadar may offer free trials, free functionality, paid subscriptions, or negotiated plans. The applicable order or checkout page will identify the price, billing frequency, included users or Workspaces, usage limits, trial conditions, and renewal terms before purchase.

A paid subscription may renew automatically for successive billing periods only after the Customer affirmatively agrees to the disclosed renewal terms. GovRadar will provide a receipt or comparable payment confirmation. Unless an order states otherwise, fees are due in U.S. dollars and do not include taxes the Customer is legally responsible for paying.

GovRadar intends to give at least 30 days' notice before a price increase affecting an existing subscription. A price increase will apply no earlier than the next renewal after the notice period.

7. Cancellation and refunds

A Customer may cancel a subscription through available account controls or by contacting GovRadar. Cancellation stops the next renewal, and paid access ordinarily continues through the end of the current billing period. GovRadar does not intend to charge a cancellation fee.

Unless the applicable order states otherwise, GovRadar intends to offer a refund when a Customer cancels within 14 days after its first paid subscription charge. After that period, payments are generally nonrefundable and ordinary mid-cycle cancellations are not prorated. GovRadar may provide refunds or credits for billing errors, duplicate charges, extended service failures, or other fair circumstances. Refunds required by applicable law remain available.

8. Acceptable use

Customers and Authorized Users may not:

  • use GovRadar for unlawful, fraudulent, deceptive, or abusive activity;
  • access or attempt to access another organization's account or data without authorization;
  • probe, scan, bypass, or disrupt security or access controls;
  • upload malware or interfere with the service or other users;
  • scrape or automate access at unreasonable volumes or outside provided interfaces;
  • resell, sublicense, or provide shared access except under an authorized plan;
  • infringe intellectual-property, confidentiality, or privacy rights;
  • misrepresent affiliation with GovRadar or a government agency; or
  • place passwords, payment-card security codes, classified information, export-controlled information, or highly sensitive personal information into fields not designed for that purpose.

9. Client Data and privacy

As between GovRadar and the Customer, the Customer or applicable Client Organization retains its rights in Client Data. The Customer grants GovRadar a limited, nonexclusive permission to host, copy, process, transmit, back up, secure, and display Client Data only as reasonably necessary to provide, maintain, protect, and improve the service and fulfill legal obligations.

Customers are responsible for having the rights and authority necessary to provide Client Data and instruct GovRadar to process it. GovRadar does not make private Client Data public by default and does not intend to use confidential Workspace content to train general-purpose artificial-intelligence models without explicit opt-in authorization.

10. Opportunity information and decisions

GovRadar is an independent commercial service. It is not affiliated with or endorsed by the U.S. government and does not publish the authoritative government notices displayed or linked through the service.

Public-source information may be delayed, incomplete, amended, unavailable, or affected by source-system or transmission errors. Customers must verify requirements, amendments, deadlines, eligibility, submission instructions, and other material details at the authoritative source before acting.

Decision-support boundary

Matches, scores, explanations, summaries, assessments, and workflow suggestions are decision-support information. They are not legal, financial, procurement, or professional advice and do not guarantee eligibility, responsiveness, awards, revenue, or business results.

11. Service availability and changes

GovRadar intends to use commercially reasonable efforts to keep the service available and functioning. Planned maintenance, emergencies, internet failures, government-source outages, vendor failures, and other interruptions may affect availability. No specific uptime commitment applies unless GovRadar and the Customer enter a separate written service-level agreement.

GovRadar may improve, modify, replace, or discontinue features. When practicable, we will provide advance notice before a change materially reduces core paid functionality. Beta, preview, or evaluation features may change or end without the commitments applicable to generally available features.

12. Suspension, termination, and data recovery

For an ordinary remediable breach, GovRadar intends to provide notice and a reasonable opportunity—normally at least 10 days—to correct the issue. GovRadar may suspend access immediately when reasonably necessary to address a security threat, fraud, unlawful activity, payment reversal, harm to another customer, material service disruption, or urgent legal requirement.

A Customer may terminate its account subject to applicable order terms. GovRadar may terminate an account for a material or repeated violation, prolonged nonpayment, or when continuing the relationship would create material legal or security risk.

After termination, GovRadar intends to provide a limited recovery period—expected to be approximately 30 days—during which an authorized Customer may request an available export or restoration. Exact production export, retention, and deletion procedures will be established before launch. GovRadar may retain billing, security, fraud-prevention, backup, and legally required records as described in the Privacy Policy.

13. Third-party services and links

GovRadar may interoperate with authentication, hosting, payment, email, analytics, government-source, or other third-party services. Their services may be governed by separate terms and policies. GovRadar is not responsible for third-party websites or services it does not control, but remains responsible for its own commitments concerning its selection and use of service providers.

14. GovRadar ownership and feedback

GovRadar and its licensors retain all rights in the service, software, interface, documentation, branding, matching methods, and product improvements, excluding Client Data and third-party public-source information. Subject to these Terms and payment of applicable fees, GovRadar grants the Customer a limited, nonexclusive, nontransferable right to use the service during the applicable subscription or authorized access period.

If a user voluntarily provides product feedback, GovRadar may use it to improve the service without payment or restriction, provided that GovRadar does not publicly identify the Customer or disclose confidential Client Data through that use without authorization.

15. Disclaimers

Except for express commitments stated in an applicable order or written agreement, GovRadar is provided on an “as available” basis. To the extent permitted by law, GovRadar disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

These disclaimers do not eliminate obligations that cannot legally be disclaimed and do not permit GovRadar to disregard its express contractual, privacy, security, or legal commitments.

16. Limitation of liability

To the extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential damages, or for lost profits, revenues, or business opportunities, arising from these Terms or use of the service, even when advised that such damages may occur.

Subject to exceptions required by law or agreed in writing, each party's total liability arising from the service will not exceed the fees paid or payable by the Customer for GovRadar during the 12 months preceding the event giving rise to the claim. For a user of a free service, a modest fixed cap may apply as stated in the final production Terms.

This section requires review by qualified legal counsel before production, including appropriate exceptions for fraud, willful misconduct, confidentiality, intellectual-property, and data-security obligations.

17. Third-party claims

A Customer will be responsible for third-party claims to the extent caused by its unlawful Client Data, intentional misuse of GovRadar, infringement of another party's rights, or material violation of these Terms. Any final indemnification obligations, procedures, control of defense, and reciprocal GovRadar obligations will be stated in the production Terms or applicable negotiated agreement after legal review.

18. Disputes and governing law

Before filing a formal claim, the parties agree to attempt in good faith to resolve the dispute for at least 30 days after written notice describing the issue. This requirement does not prevent either party from seeking urgent relief when reasonably necessary to protect security, confidentiality, intellectual property, or legal rights.

Unless an applicable order or nonwaivable law provides otherwise, these Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. Disputes that are not resolved informally may be brought in a court with proper jurisdiction in Virginia. These pre-launch Terms do not require mandatory arbitration or waive class-action rights.

19. Changes to these Terms

GovRadar may update these Terms as the service, pricing, or legal requirements evolve. We intend to provide at least 30 days' advance notice of a materially adverse change when practicable. The updated Terms will show a revised date. When appropriate, we may require an authorized Customer representative to accept the updated Terms before continued use.

20. General provisions

These Terms, the Privacy Policy, an applicable order, and any incorporated addendum form the agreement governing the service. If an order conflicts with these Terms, the order controls only for that Customer and only to the extent of the conflict.

Neither party may assign the agreement without the other party's consent, except in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer to an affiliate that assumes the applicable obligations. If part of the agreement is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.
